Terms of Service

1. Acceptance of Terms

By accessing or using Audience+ (the "Service") you accept and agree to comply with these terms. If you do not agree with these terms, stop using the Service immediately.

2. Description of Service

Audience+ enables Shopify merchants to analyze customer data, build audience segments, and sync those segments to Meta advertising endpoints. The Service depends on Shopify and Meta APIs and is designed to simplify repeated uploads while keeping settings transparent.

3. Accounts and Access

To use the Service you must connect a Shopify store and maintain an account. You are responsible for all access that occurs under your credentials and must do the following:

• Keep your registration information complete and accurate
• Secure your login credentials and notify us if they are compromised
• Limit access to authorized team members and devices

4. Fees and Billing

Paid plans are billed monthly or annually, depending on your selection, and renew automatically unless canceled before the renewal date.

• Billing: You authorize us to charge the payment method you provide.
• Cancellation: You may cancel at any time through the dashboard; cancellation takes effect at the end of the current billing period.
• Refunds: Refunds are provided only at our discretion and are typically reserved for technical issues within our control.

5. Data and Integrations

Audience+ collects Shopify customer, order, and product data to build segments and send them to Meta. You must have the right to provide this data, and you consent to the storage and processing needed to run the Service. We retain data as needed to fulfill your requests, comply with legal obligations, and maintain backups.

When syncing audiences, we share the relevant customer identifiers with Meta for ad delivery. You remain responsible for ensuring any audience created through Audience+ complies with Meta's policies.

6. Acceptable Use

You agree to use the Service lawfully and in good faith. Prohibited actions include:

• Violating Shopify, Meta, or other third-party terms
• Uploading or sharing abusive, harassing, infringing, or unlawful content
• Attempting to interfere with or reverse engineer the Service
• Providing false information during onboarding or billing

7. Third-Party Services

Audience+ depends on third parties such as Shopify, Meta, and PostHog. Each of those services has its own terms and privacy policies. We are not responsible for their performance, availability, or any changes they make, and you remain subject to their rules.

8. Service Availability

We aim to keep the Service accessible, but interruptions may occur for maintenance, updates, or technical issues. We are not liable for outages and do not guarantee uninterrupted operation.

9. Termination

You can terminate your account at any time. We reserve the right to suspend or terminate access if you breach these terms or misuse the Service. Upon termination we may delete your data after a reasonable grace period.

10. Disclaimers

The Service is provided "as is" and "as available." We make no warranties of any kind, whether express or implied, including warranties of accuracy, merchantability, or fitness for a particular purpose.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIENCE+ AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF YOUR USE OF THE SERVICE.

12. Governing Law

These terms are governed by the laws of the United States, without regard to conflicts of laws. Disputes will be resolved exclusively in the courts located in the United States.

13. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or a notice on the Service. Continued use after changes means you accept the new terms.
